1. Acceptance of Terms

By accessing, browsing, or using the Site, placing an order, registering an account, or otherwise interacting with Wing Snob's digital or physical services, you ("User," "Customer," or "you") enter into a legally binding agreement with Wing Snob governed by these Terms of Service, our Privacy Policy, and any additional policies or guidelines posted on the Site, all of which are incorporated herein by reference.

These Terms apply to all visitors, users, customers, and others who access or use our services, whether through the Site, mobile applications, third-party delivery platforms, or in-person at our restaurant location(s). Your continued use of the Site or services following any modifications to these Terms constitutes your acceptance of the updated Terms.

You represent and warrant that you are at least eighteen (18) years of age, or, if you are between the ages of thirteen (13) and seventeen (17), that you have obtained verifiable parental or legal guardian consent. You further represent that you have the legal authority and capacity to enter into these Terms. If you are using the Site on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

Wing Snob operates in the United States and complies with applicable federal and state laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45), the California Consumer Privacy Act (CCPA/CPRA) where applicable, and all relevant food service, health, and consumer protection regulations.

2. Description of Services

Wing Snob is a food service business that offers customers the ability to browse our menu, place food orders (online and/or in-person), make reservations, receive promotions and newsletters, and engage with our brand through various digital channels. Our services include, but are not limited to:

• Online Ordering: Customers may place orders for pickup or delivery through our Site, affiliated platforms, or third-party delivery partners.
• Menu Browsing: Users may view our current menu offerings, pricing, nutritional information (where available), and promotional items.
• Account Registration: Users may create personal accounts to manage orders, track order history, save preferences, and access exclusive offers.
• Loyalty Programs: From time to time, Wing Snob may offer loyalty programs, rewards, or promotional discounts, subject to their own terms and conditions.

Menu items, pricing, availability, and promotional offers are subject to change without prior notice. We make reasonable efforts to keep the Site current and accurate but do not guarantee that all information presented on the Site is error-free or up-to-date at all times.

3. User Accounts and Registration

To access certain features or services, you may be required to create a user account. When registering for an account, you agree to:

• Provide accurate, current, and complete information as prompted during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Keep your login credentials, including your password, confidential and secure.
• Be solely responsible for all activities that occur under your account.

Wing Snob reserves the right to suspend or terminate your account at any time for any reason, including but not limited to a violation of these Terms. You may also delete your account at any time by contacting us. Upon account termination, your right to use the services associated with that account will immediately cease.

4. User Obligations and Prohibited Activities

By using our Site and services, you agree to use them lawfully, responsibly, and in accordance with these Terms. You agree that you will not:

• Use the Site or services for any unlawful purpose or in violation of any applicable federal, state, or local laws or regulations.
• Violate any applicable food ordering, consumer protection, or electronic commerce laws.
• Engage in fraudulent activities, including but not limited to submitting false orders, fraudulent payment information, or misrepresenting your identity.
• Attempt to gain unauthorized access to any portion of the Site, other users' accounts, or any computer systems or networks connected to the Site.
• Use any automated means, including bots, scrapers, crawlers, or similar software, to access or interact with the Site without our express written consent.
• Transmit or upload any viruses, malware, spyware, or any other harmful, disruptive, or destructive files or code.
• Post, transmit, or distribute any unsolicited advertising, spam, promotional materials, or any other form of solicitation through the Site.
• Engage in any conduct that restricts or inhibits any other user's ability to use or enjoy the Site or services.
• Infringe upon or violate the intellectual property rights, privacy rights, or other rights of Wing Snob or any third party.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Use the Site to collect or harvest any personally identifiable information of other users.
• Submit fabricated, misleading, or defamatory reviews, ratings, or comments about Wing Snob products, services, or employees.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software associated with the Site.
• Engage in any activity that could damage, overburden, or impair the Site or interfere with any third party's use of the Site.

Wing Snob reserves the right to investigate violations of these Terms and may cooperate with law enforcement authorities to prosecute users who violate applicable laws. We reserve the right to remove any content, cancel orders, and terminate accounts in connection with any prohibited activity, at our sole discretion.

5. Intellectual Property Rights

All content, materials, and features on the Site, including but not limited to text, graphics, logos, icons, photographs, images, audio clips, video clips, data compilations, software, and the overall look and feel of the Site (collectively, the "Content"), are the exclusive property of Wing Snob or its licensors and are protected by United States and international intellectual property laws, including copyright, trademark, trade dress, and other proprietary rights.

The Wing Snob name, logo, brand identities, slogans, and all related product and service names, design marks, and trade dress are registered or unregistered trademarks of Wing Snob (the "Marks"). You may not use any of our Marks without our prior written permission. Unauthorized use of our Marks may constitute trademark infringement and unfair competition under applicable federal and state laws.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial use in accordance with these Terms. This license does not include the right to:

• Reproduce, distribute, publicly display, or create derivative works based on our Content;
• Remove or alter any copyright, trademark, or other proprietary notices on the Content;
• Use the Content for commercial purposes without our express written consent;
• Use any data mining, robots, or similar data gathering or extraction methods;
• Frame or embed the Site within another website or application without written permission.

6. Online Ordering and Payment Terms

When you place an order through our Site, you agree to provide current, complete, and accurate purchase and account information, including a valid payment method. By submitting a payment, you represent that you are authorized to use the payment method submitted.

6.1 Pricing and Availability

All prices displayed on the Site are in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes, service fees, delivery fees, or gratuity unless otherwise stated. Wing Snob reserves the right to modify pricing at any time. In the event of a pricing error on the Site, we reserve the right to cancel any orders placed at the incorrect price and issue a full refund.

6.2 Order Confirmation and Cancellations

An order is not confirmed until you receive an order confirmation via email or through the Site. Wing Snob reserves the right to refuse or cancel any order at any time for reasons including, but not limited to, product availability, errors in pricing, suspected fraud, or violations of these Terms. If your order is cancelled, we will notify you and issue a full refund to your original payment method.

Customer-initiated cancellations may be subject to our cancellation policy in effect at the time of the order. Certain time-sensitive orders, including catering orders, may have specific cancellation windows. Please contact us promptly if you need to modify or cancel an order.

6.3 Refunds and Returns

Due to the perishable nature of food products, Wing Snob does not accept returns of food items once they have been delivered or picked up. If you have a concern about the quality, accuracy, or safety of a food item you received, please contact us within twenty-four (24) hours of receipt at [email protected]. We will investigate your concern and, at our discretion, may offer a replacement, credit, or refund.

6.4 Third-Party Delivery Platforms

Wing Snob may partner with third-party delivery platforms (e.g., DoorDash, Uber Eats, Grubhub). Orders placed through third-party platforms are subject to those platforms' own terms of service and privacy policies. Wing Snob is not responsible for the acts or omissions of third-party delivery providers, including delivery delays, errors, or issues arising from your use of those platforms.

7. Food Safety and Allergen Information

Wing Snob takes food safety seriously and operates in compliance with applicable federal, state, and local food safety regulations, including guidelines issued by the U.S. Food and Drug Administration (FDA) and relevant state health departments. However, you acknowledge and agree that:

• Our food items may contain or come into contact with common allergens, including but not limited to peanuts, tree nuts, wheat, soy, dairy, eggs, fish, and shellfish.
• While we make reasonable efforts to provide accurate allergen information, Wing Snob cannot guarantee that any item is completely free from any allergen due to potential cross-contamination in our kitchen.
• Customers with severe food allergies should exercise extreme caution and are encouraged to contact us directly before placing an order to discuss their specific needs.
• Wing Snob is not liable for any allergic reactions or adverse health effects arising from the consumption of our food products.

8. Disclaimers and "As-Is" Basis

YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK. THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WING SNOB EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• WARRANTIES THAT THE RESULTS OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE;
• WARRANTIES REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH THE SITE;
• WARRANTIES THAT ANY ERRORS IN THE SITE WILL BE CORRECTED.

Wing Snob does not warrant that the Site is free of viruses or other harmful components. No advice or information, whether oral or written, obtained by you from Wing Snob or through the Site shall create any warranty not expressly stated herein.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL WING SNOB, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data;
• Loss of business or anticipated savings;
• Personal injury or property damage;
• Emotional distress or inconvenience;
• Unauthorized access to or alteration of your transmissions or data;
• Any bugs, viruses, or other harmful code transmitted through the Site;
• Any errors or omissions in any content on the Site.

THESE LIMITATIONS APPLY WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its owners, officers, directors, employees, agents, licensors, service providers, and contractors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or services, including any orders placed through the Site;
• Your violation of any applicable law, rule, or regulation;
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or consumer protection rights;
• Any content or information you submit, post, or transmit through the Site;
• Your negligence or willful misconduct;
• Any claims by third parties related to your account or your use of the services.

Wing Snob reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with Wing Snob in asserting any available defenses. You shall not settle any claim without Wing Snob's prior written consent.

11. Third-Party Links and Services

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Wing Snob. These links are provided for your convenience and informational purposes only. Wing Snob has no control over and assumes no responsibility for the content, privacy policies, practices, or terms of service of any third-party websites or services.

Wing Snob does not endorse or make any representations about third-party websites or services. Your access to and use of any third-party websites or services is at your own risk and subject to the terms and conditions of those third parties. We encourage you to review the terms and privacy policies of any third-party websites or services you visit.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Wing Snob operates, without regard to conflict of law principles. Any disputes not subject to arbitration as set forth in Section 13 shall be subject to the exclusive jurisdiction of the state and federal courts located in the applicable jurisdiction within the United States.

Wing Snob complies with applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.), and applicable state consumer protection statutes. Where customers are residents of California, additional rights may apply under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), California's Unfair Competition Law (Cal. Bus. & Prof. Code § 17200 et seq.), and the Consumers Legal Remedies Act (Cal. Civ. Code § 1750 et seq.).

You agree to submit to the personal jurisdiction of the courts in the applicable venue stated herein for the purpose of litigating any claims or disputes not subject to mandatory arbitration. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting Wing Snob at [email protected] with a written description of the dispute, your name, contact information, and the relief you are seeking. We will attempt to resolve the dispute within thirty (30) days. If the dispute cannot be resolved within that period, either party may proceed to formal dispute resolution as set forth below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Except as provided below, you and Wing Snob agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or the services shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in a court of law.

The arbitration shall be conducted by a single, neutral arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitration shall take place in the United States, in a location reasonably convenient to both parties.

13.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the completion of arbitration. Additionally, either party may bring individual claims in small claims court if the claims qualify under applicable rules.

13.4 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

13.5 Arbitration Costs

The costs and fees of arbitration shall be allocated as provided in the AAA Consumer Arbitration Rules. For claims of less than $10,000, Wing Snob will pay all filing, administration, and arbitrator fees unless the arbitrator determines that your claims are frivolous.

14. Term and Termination

These Terms of Service are effective as of the date you first access or use the Site and shall remain in full force and effect for as long as you continue to use the Site or services, unless terminated earlier in accordance with these Terms.

Wing Snob may, in its sole discretion, terminate or suspend your access to the Site and services, with or without prior notice, for any reason, including but not limited to:

• Your breach of any provision of these Terms;
• Your violation of any applicable law or regulation;
• Fraudulent, abusive, or illegal activity suspected to involve your account;
• Conduct that is harmful to Wing Snob, its customers, employees, or third parties;
• Discontinuation of the Site or services by Wing Snob.

You may terminate your use of the Site at any time by discontinuing access. If you have a registered account, you may request account deletion by contacting us at [email protected].

Upon termination of these Terms for any reason, the following sections shall survive and remain in full force and effect: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and all other provisions that by their nature should survive termination.

15. Changes to Terms of Service

Wing Snob reserves the right to modify, update, or replace these Terms of Service at any time in its sole discretion. When we make material changes, we will notify you by:

17. Force Majeure

Wing Snob shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, war, terrorism, civil unrest, government actions, labor disputes, supply chain disruptions, power outages, internet failures, or any other force majeure event.

In the event of a force majeure, Wing Snob will make reasonable efforts to resume operations as soon as practicable and will communicate updates to affected customers through the Site, email, or other available channels.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies, guidelines, or agreements explicitly incorporated by reference herein, constitute the entire agreement between you and Wing Snob with respect to your use of the Site and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter herein.

No failure or delay by Wing Snob in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right, power, or privilege. No single or partial exercise of any right, power, or privilege under these Terms shall preclude any further exercise thereof or the exercise of any other right, power, or privilege.

19. Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law or regulation, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected or invalidated by the severed provision.

The parties agree that any invalid or unenforceable provision should be interpreted as closely as possible to the original intent of the parties, consistent with the overall purpose and intent of these Terms. The invalidity of any provision shall not affect the validity or enforceability of any other provision of these Terms.

20. Waiver

The failure of Wing Snob to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if it is in writing and signed by an authorized representative of Wing Snob. A waiver by Wing Snob of any breach or default of any provision shall not be deemed a waiver of any subsequent breach or default.

21. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Wing Snob. Any attempted assignment or transfer in violation of this provision shall be null and void. Wing Snob may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without restriction or notice to you, except as required by applicable law.

22. Electronic Communications and Consent

By using the Site or creating an account, you consent to receive electronic communications from Wing Snob, which may include emails, text messages (with your express consent), push notifications, and in-app messages. These communications may include order confirmations, receipts, account notices, promotional offers, and policy updates. You agree that any such electronic communications satisfy any legal requirement that such communications be made in writing.

Note that opting out of marketing communications will not affect transactional or service-related communications related to your account or orders.
